SAVOIR TERMS OF SERVICE

THIS TERMS OF SERVICE ARE THE LEGAL AGREEMENT BETWEEN YOU AND WISHUPON, INC.(“SAVOIR”, “Wishupon”, “we,” “our,” or “us”), SAVOIR(“the Software, “the Service”), ALONG WITH OUR RELATED WEBSITES, NETWORKS, APPLICATIONS, MOBILE APPLICATIONS, AND OTHER SERVICES PROVIDED BY US REGARDING YOUR USE OF THE SERVICE.

BY CLICKING "ACCEPT"(AND/OR “CONTINUE,” “SIGN UP”) AND/OR BY USING THE SERVICE YOU ACKNOWLEDGE THAT YOU HAVE READ THIS TERMS OF SERVICE AND AGREE TO BE BOUND BY ITS TERMS. IF YOU DO NOT AGREE TO THIS AGREEMENT, UNINSTALL THE SOFTWARE AND DO NOT USE IT IN ANY MANNER WHATSOEVER.

  1. Grant of License. By complying with the terms and conditions outlined herein, Wishupon grants you a limited, non-exclusive, non-transferable, and non-sublicensable license. This license allows you to install and utilize one copy of the Software on your mobile device. Its sole purpose is to access, open, and leverage the capabilities and services provided by the Software.

  1. Restrictions on Use. You may not: (i) copy, modify, translate, reverse engineer, decompile or disassemble the Software or create derivative works based thereon; (ii) install the Software onto a server so that it is accessible via a public network; (iii) share or permit other individuals/entities to use SAVOIR, rent, lease or transfer SAVOIR or rights to use it; or (iv) delete or modify any attributions, legal notices or other proprietary designations in SAVOIR or part thereof. Any such forbidden use shall immediately and automatically terminate your license to use SAVOIR, without derogating from any other remedies available to SAVOIR at law or in equity.

  1. Ownership and Title. SAVOIR, along with any revisions, modifications, enhancements, and/or derivatives thereof, are the property of the Software and/or its licensors, safeguarded by copyright laws and treaties. Any and all rights, titles, and interests in the Software, including all linked intellectual property rights, are and shall remain the exclusive property of SAVOIR and/or its licensors.

  1. Updates/Upgrades. From time to time, improvements are made to SAVOIR by Wishupon, and updates or upgrades may be implemented at its sole discretion, with or without prior notification. Wishupon reserves the right, at its sole discretion, to inform you of such updates or upgrades through a patch process, email, or website posting, making them available for download. While certain updates or upgrades may be optional, others may be necessary for the proper functioning of SAVOIR. We may, at its discretion, offer email and/or internet-based support with online help, but is not required to do so.

  1. Paid accounts. You'll be automatically billed from the date you convert to a SAVOIR Plus. Account and on each renewal period until cancellation. Please note that you'll be charged tax when we are required to do so, and you are responsible for all applicable taxes. Your SAVOIR Plus Account will remain active until cancellation or termination under these Terms. Failing to pay for your SAVOIR Plus on time might result in a loss of access to features you have paid for. We may change the fees in effect at a future date, but we will send advanced notice of any changes to the email address associated with your SAVOIR account. Payment will be charged to iTunes Account at confirmation of purchase. Subscription automatically renews unless auto-renew is turned off at least 24 hours before the end of the current period. Account will be charged for renewal within 24 hours prior to the end of the current period. Subscriptions may be managed by the user and auto-renewal may be turned off by going to the user's Account Settings after purchase.

  1. Compliance with Law. The use of SAVOIR is intended to strictly adhere to all relevant laws and regulations, and only with duly licensed media and content. You commit to using SAVOIR in compliance with all pertinent laws, including, but not limited to, export laws, restrictions, and regulations, ensuring that no export or re-export of SAVOIR occurs in violation of these laws, restrictions, and regulations. By accepting these terms, you confirm and warrant that you are not situated in, under the control of, or a citizen or resident of any restricted country.

  1. Changes to Software or Terms of Service. We retain the authority to alter, suspend, or terminate any aspect of SAVOIR whenever deemed necessary. Any changes to the Terms of Service will be communicated to you through a patch process or website posting, with significant modifications being explicitly disclosed. Save for alterations impacting your privacy, which will require your explicit acceptance, your continued utilization of SAVOIR following any modification to SAVOIR or this Terms of Service signifies your acceptance of such changes.

  1. Warranty Disclaimer. SAVOIR IS PROVIDED ON AN "AS IS" BASIS, WITHOUT ANY WARRANTY. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SAVOIR DISCLAIMS ALL WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

  1. Limitation of Liability. Under no circumstances and under no legal theory (tort, contract, or otherwise), shall the Software be liable to you or any other person for any indirect, special, incidental, or consequential damages of any type, including, without limitation, damages for loss of goodwill, business interruption, device failure or malfunction, loss of business profits, loss of data, business or financial information, procurement of substitute goods or services, or any other commercial damages or losses. IN NO EVENT SHALL SAVOIR'S CUMULATIVE LIABILITY TO YOU OR ANY THIRD PARTY FOR ANY LOSS OR DAMAGES EXCEED THE AMOUNT PAID BY YOU TO SAVOIR FOR USE OF SAVOIR, EVEN IF SAVOIR HAD BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGES, OR FOR ANY CLAIM BY ANY OTHER PARTY.

  1. Immediate Termination. Without prejudice to any other rights, this Service of Terms and your right to use SAVOIR automatically terminates if you fail to comply with any provision of this Service of Terms. We may terminate this Service of Terms at any time with or without prior notice. You may terminate this license at any time by stopping your use thereof and uninstalling SAVOIR.

  1. User Content. When you provide User Content through the Software, it remains your property, but you grant us a worldwide, non-exclusive, irrevocable, royalty-free, fully paid license (with the right to sublicense) to use, host, store, translate, transfer, display, perform, reproduce, modify, distribute, and create derivative works of your User Content, along with your name, voice, and/or likeness contained therein, in any form, media, or technology, whether now known or hereafter developed. This license is granted solely for the purpose of enabling us to provide features like sharing and collaboration with authorized users.

  1. Files. The company has the full right to delete any illegal content or oversized files at its own right.

  1. Accounts and Registration. To utilize the Service, registration for an account is necessary. You can register either by using your Apple account, or by creating a distinct account for SAVOIR. During the registration process, you may need to furnish certain personal information such as your name, email address, or other contact details. A password will be requested upon registration, and it is your sole responsibility to safeguard the confidentiality of your account and password. You acknowledge accountability for all activities conducted under your account.

  1. Communications. When you install our app on your mobile device, you may choose to receive push notifications, which are messages an app sends you on your mobile device when the app is not on. We may send you emails concerning our products and services, as well as those of third parties. You may opt out of promotional emails by following the unsubscribe instructions in the promotional email itself.

  1. Miscellaneous.This Terms of Service shall constitute the complete and exclusive agreement between us. WISHUPON, INC.'S ACCEPTANCE OF YOUR USE OF THE SOFTWARE, IS EXPRESSLY MADE CONDITIONAL ON YOUR ASSENT TO THE TERMS SET FORTH HEREIN. If any provision of this Terms of Service is held to be unenforceable, such provision shall be reformed only to the extent necessary to make it enforceable. These Terms and their performance shall be governed by and construed in accordance with the laws of South Korea, and the parties submit to the exclusive jurisdiction of the courts of South Korea.
